These Terms of Service ("Terms") govern your access to and use of the Cellstack platform and services (the "Service") operated by Cellstack ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

Cellstack is an AI-powered lead prioritization and research platform for B2B sales teams. The Service allows you to:

• Analyze companies against your Ideal Customer Profile (ICP)
• Discover buy signals such as funding events, hiring activity, and technology adoption
• Find relevant contacts at target companies from public sources
• Generate personalized outreach messages based on research results
• Manage outreach sequences and prospect lists

2. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to update it as needed.

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Usage Tiers and Limits

The Service offers different usage tiers. Free tier accounts are subject to limits on the number of campaigns and companies per campaign. We reserve the right to modify usage limits at any time. Current limits are displayed within the Service.

We may introduce paid tiers in the future. Any paid features will be clearly communicated and require your explicit consent before billing.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws and regulations
• Send spam, unsolicited messages, or messages that violate anti-spam laws (CAN-SPAM, GDPR, etc.) using data obtained through the Service
• Scrape, harvest, or collect personal data from the Service beyond what is provided through normal use
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Share your account credentials with third parties or allow unauthorized access to your account
• Use the Service to harass, defame, or harm any person or organization
• Circumvent usage limits or other restrictions imposed by the Service
• Use automated tools (bots, crawlers) to access the Service except through our official API

5. AI-Generated Content

The Service uses artificial intelligence to analyze companies, score leads, identify buy signals, and generate outreach messages. You acknowledge and agree that:

• AI-generated analysis, scores, and recommendations are advisory tools and should not be the sole basis for business decisions
• AI outputs may contain inaccuracies, outdated information, or errors. You are responsible for verifying any information before acting on it
• Company data, contact information, and buy signals are derived from publicly available sources and may not be complete or current
• Generated outreach messages should be reviewed and customized before sending. You are solely responsible for all communications you send using content generated by the Service
• We do not guarantee the accuracy, completeness, or timeliness of any AI-generated content

6. Your Data

You retain ownership of the data you submit to the Service, including ICP descriptions, company lists, company profiles, and writing samples. You grant us a limited, non-exclusive license to use this data solely to provide and improve the Service for you.

Analysis results, scores, and generated messages created by the Service based on your inputs are provided for your use. You may export and use these outputs in accordance with these Terms.

7. Third-Party Data and Compliance

The Service provides contact information (names, titles, LinkedIn URLs, email addresses) obtained from publicly available sources. You are solely responsible for:

• Complying with all applicable data protection laws (including GDPR, CCPA, and CAN-SPAM) when using contact data obtained through the Service
• Ensuring you have a lawful basis for processing any personal data you receive from the Service
• Respecting the privacy rights of individuals whose information appears in analysis results
• Including appropriate opt-out mechanisms in any outreach communications

8. Intellectual Property

The Service, including its design, features, algorithms, and underlying technology, is owned by Cellstack and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

9. Service Availability

We strive to maintain the Service's availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELLSTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Losses arising from reliance on AI-generated analysis, scores, or recommendations
• Inaccurate or incomplete company data, contact information, or buy signals
• Consequences of outreach communications sent using Service-generated content
• Service interruptions, data loss, or security incidents

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT AI-GENERATED RESULTS WILL BE ACCURATE OR COMPLETE.

12. Indemnification

You agree to indemnify and hold harmless Cellstack and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your use of data obtained through the Service in violation of third-party rights or applicable laws.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at our discretion if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties.

Upon termination, your right to access the Service ceases immediately. We will retain your data for a reasonable period (up to 30 days) to allow you to request an export. After that period, we may permanently delete your data.

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by providing notice through the Service. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.
